Please read these Terms & Conditions carefully before using our website or engaging our consulting services. By accessing our website or entering into an engagement with Thiên Phú Consulting, you accept these terms in full. If you disagree with any part, please do not use our site or proceed with an engagement.

1. Definitions

In these Terms & Conditions, the following terms carry the meanings set out below:

  • "We / Us / Our" — Thiên Phú Consulting, a business advisory firm operating from 134 Doi Can Street, Ba Dinh, Hanoi 100000, Vietnam.
  • "You / User" — any individual or entity accessing our website or engaging our consulting services.
  • "Service" — the consulting engagements and related deliverables we provide, including New Venture Feasibility Studies, Customer Experience Mapping, and Private Board Advisory Setup.
  • "Website" — the website located at https://thienphubnines and all associated pages.
  • "Engagement" — a specific consulting project agreed between you and us, documented in a Letter of Engagement or equivalent written agreement.
  • "Deliverable" — any report, map, framework, or other work product produced by us in the course of an Engagement.
  • "Agreement" — these Terms & Conditions together with any Letter of Engagement, proposal, or supplementary agreement between the parties.
  • "Content" — all text, images, and materials published on the Website.

2. Acceptance of Terms

By using our Website or proceeding with an Engagement, you confirm that:

  • You are at least 18 years of age, or are acting on behalf of an organisation with the authority to bind it.
  • You have the legal capacity to enter into a binding agreement.
  • You have read, understood, and agreed to these Terms & Conditions in their entirety.

If you are representing a legal entity, you confirm that you are authorised to accept these terms on that entity's behalf.

3. Service Description

Thiên Phú Consulting provides business advisory services to entrepreneurs and growth-stage companies operating primarily in Vietnam. Our core service offerings are:

  • New Venture Feasibility Study — a structured assessment of a new business idea, covering market demand, competitive landscape, capital requirements, break-even analysis, and key risk factors.
  • Customer Experience Mapping — end-to-end mapping of the customer journey, including touchpoint inventory, pain point identification, and improvement prioritisation.
  • Private Board Advisory Setup — complete design and establishment of a private advisory board, including member profiling, meeting frameworks, and facilitation of initial sessions.

Services are delivered as described in the relevant Letter of Engagement. We reserve the right to adapt the scope of work in consultation with you where circumstances reasonably require.

Service availability is subject to consultant capacity. We will communicate any constraints affecting delivery timelines promptly.

4. User Responsibilities

When using our Website and engaging our services, you agree to:

  • Provide accurate, complete, and current information when submitting enquiries or entering into an Engagement.
  • Notify us promptly of any changes to information you have provided.
  • Use the Website and our services only for lawful purposes.
  • Cooperate in good faith with our team, including making relevant information available in a timely manner.
  • Refrain from attempting to disrupt, damage, or gain unauthorised access to our systems.
  • Not reproduce, distribute, or commercially exploit Deliverables beyond the licence granted in your Engagement.

Prohibited activities include, without limitation: submitting false or misleading information; using our services to facilitate unlawful conduct; circumventing any access or security measures on the Website; and misrepresenting your identity or organisational affiliation.

5. Intellectual Property

Our rights: All content on the Website — including text, graphics, logos, and page layouts — is the intellectual property of Thiên Phú Consulting or its licensors and is protected under applicable Vietnamese intellectual property law. You may not reproduce or distribute Website content without our prior written permission.

Deliverable licence: Upon full payment of fees, we grant you a non-exclusive, non-transferable licence to use Deliverables produced under an Engagement for your internal business purposes. This licence does not permit resale, sublicensing, or publication of Deliverables without our written consent.

Underlying methodology: Frameworks, methodologies, and analytical tools used to produce Deliverables remain our intellectual property. The licence granted above covers the specific Deliverable, not the underlying methodology.

Your content: You retain ownership of all business information, data, and materials you provide to us. You grant us a limited licence to use such materials solely for the purpose of delivering the agreed Engagement.

6. Payment Terms

Fees for our services are as stated in the relevant Letter of Engagement or proposal. Unless otherwise agreed in writing:

  • A deposit of 50% of the agreed fee is due upon signing the Letter of Engagement.
  • The remaining balance is due upon delivery of the final Deliverable or at the conclusion of the Engagement, whichever is earlier.
  • All fees are quoted and payable in Vietnamese Dong (VND) unless otherwise agreed.
  • Invoices are payable within 7 business days of issue.
  • Late payments may attract an administrative charge of 1.5% per month on the outstanding balance.

Refunds: Deposits are non-refundable once work has commenced. If you choose to discontinue an Engagement before completion, fees for work completed to date will remain payable. We will discuss the applicable amount with you in good faith based on the stage reached.

We accept payment by bank transfer. Payment details will be provided in the Letter of Engagement.

7. Service-Specific Terms

Feasibility Studies: The feasibility report is based on information available at the time of the Engagement and on publicly available market data. Conclusions represent our professional assessment, not a binding forecast. Market conditions may change after delivery.

Customer Experience Mapping: The accuracy of journey maps depends on the quality of information you provide and the accessibility of customers or staff for interview/survey participation. We will make reasonable efforts to gather representative input within the agreed timeline.

Private Board Advisory Setup: We can support the identification and recruitment of advisory board members, but cannot guarantee the availability or acceptance of any particular individual. The two facilitated meetings are scheduled in consultation with you and are subject to member availability.

Confidentiality: All information you share with us during an Engagement is treated as confidential. We do not share client information with third parties except as described in our Privacy Policy or as required by law.

8. Disclaimers

Our Website and its content are provided on an "as is" and "as available" basis. While we take reasonable care to ensure accuracy, we make no representations regarding the completeness, currency, or suitability of Website content for any particular purpose.

Our consulting services represent professional advisory input based on information available at the time of the Engagement. We do not warrant specific business outcomes, financial results, or market performance. Business decisions remain the responsibility of the client.

We are not a law firm, accounting firm, or licensed financial services provider. Our advisory services do not constitute legal, tax, accounting, or regulated financial advice. Where matters require such advice, we recommend consulting appropriately qualified professionals.

9. Limitation of Liability

To the fullest extent permitted by Vietnamese law, Thiên Phú Consulting shall not be liable for:

  • Indirect, consequential, or incidental loss arising from use of our Website or services.
  • Loss of profit, revenue, business opportunity, or data.
  • Decisions made by you based on information or recommendations in our Deliverables.

Where liability cannot be excluded, our total liability in respect of any single Engagement shall not exceed the fees paid by you for that Engagement.

Nothing in these Terms & Conditions limits liability for fraud, wilful misconduct, or death or personal injury caused by our negligence.

10. Indemnification

You agree to indemnify and hold harmless Thiên Phú Consulting, its directors, staff, and advisors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Website in a manner that violates these Terms.
  • Inaccurate or misleading information you provide to us.
  • Your breach of any applicable law or regulation.
  • Your infringement of the rights of any third party.

11. Termination

By you: You may withdraw from an Engagement at any time by providing written notice to us. Fees for work completed to the date of withdrawal remain payable in accordance with Section 6.

By us: We may suspend or terminate an Engagement with reasonable notice if: (a) you have not provided information or access necessary to proceed; (b) fees remain unpaid beyond the agreed payment period; or (c) circumstances outside our reasonable control prevent delivery.

Effect of termination: Sections relating to intellectual property, payment of fees due, disclaimers, limitation of liability, and dispute resolution survive termination of any Engagement or these Terms.

12. Dispute Resolution

Governing law: These Terms & Conditions are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, including the Civil Code (No. 91/2015/QH13) and the Law on Commercial Arbitration (No. 54/2010/QH12).

Jurisdiction: The courts of Hanoi, Vietnam shall have non-exclusive jurisdiction over any disputes arising from these Terms or any Engagement.

Informal resolution: We encourage you to contact us at legal@thienphubnines before initiating formal proceedings. We will make a genuine effort to resolve concerns amicably within 15 business days of receiving written notice of a dispute.

Mediation: If informal resolution is unsuccessful, either party may propose mediation through the Vietnam International Arbitration Centre (VIAC) or another mutually agreed mediator before proceeding to litigation.

13. General Provisions

  • Entire agreement: These Terms, together with any Letter of Engagement, constitute the entire agreement between you and us regarding the subject matter and supersede prior discussions or representations.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our obligations to a qualified successor in the event of a business restructure.
  • Notices: Notices under these Terms should be sent by email to legal@thienphubnines or by post to our registered address.
  • Language: These Terms are written in English. In the event of a dispute about interpretation, the English text shall prevail.

14. Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes in our services, applicable law, or business practice. When we do, we will update the "Last Updated" date at the top of this page.

Continued use of our Website or engagement of our services after revised Terms are published constitutes your acceptance of the updated Terms. We recommend reviewing this page periodically.

Material changes that affect active Engagements will be communicated to affected clients directly by email.
